These Terms of Use govern access to and use of the website www.grifoni.com (the “Website”) by visitors and users, including all sections and areas of the Website dedicated to and reserved for registered users, where available, such as the “Restricted Area”. The Website is owned and operated by GGZ srl, with registered office in Pozzonovo (PD) – Via Tezzon, No. 6/A – VAT No. 01767000282 (hereinafter, “GGZ”).

In welcoming you to the Website, we invite you to read these Terms of Use carefully, as they apply to all visitors and/or users of the Website. By continuing to browse or use the Website, you shall be deemed to have accepted these Terms of Use. If you do not agree with and/or do not accept these Terms of Use, you may not use this Website and we therefore invite you to cease using it immediately.

1. AMENDMENTS TO THE TERMS OF USE

1.1 GGZ reserves the right to amend or simply update, in whole or in part, these Terms of Use at any time and without prior notice. In such cases, GGZ will publish the updated version of the Terms of Use on the Website, replacing the ‘Last updated’ date with the date of the update. We therefore ask you to review the Website’s Terms of Use periodically, so that you are always aware of the applicable terms. Please note that continued use of the Website following any changes to the Terms of Use constitutes acceptance of those changes. 2. THE WEBSITE AND ITS FUNCTIONS

2.1 Through the Website, GGZ promotes and provides information on the products and services offered, as well as on any initiatives by GGZ, and helps you find information relating to GGZ, such as, for example, the locations of retail outlets where you can purchase Grifoni-branded products . The information, descriptions and content relating to the products and services on the Website are provided for information purposes only. GGZ undertakes to take all reasonable steps to ensure that such information is correct and up to date; however, the absence of inaccuracies, errors or untimely updates cannot be guaranteed. The presence of products or services on the Website does not imply any guarantee as to their actual availability at any given time. GGZ reserves the right to modify, update or remove, temporarily or permanently, products and services from the Website, as well as to change their prices, without prior notice, without prejudice to the provisions of applicable legislation in the event of a purchase. The images and graphic representations of the products are for illustrative purposes only. Although every reasonable effort has been made to accurately represent the appearance of the products, any differences in colour or visual rendering may depend on the settings and technical characteristics of the device used by the user.

2.2 In certain sections of the Website, you may be asked to create an account by entering your personal data and creating a username and password in order to:

2.5 GGZ reserves the right to delete or suspend your account at any time and without notice if: (i) it reasonably believes that you are using it in breach of these Terms of Use, (ii) it reasonably believes that a third party is using your account without your consent, or (iii) it reasonably believes it is necessary to delete or suspend your account for security or maintenance purposes.

3. USE OF THE WEBSITE BY USERS

3.1 Use of the Website is intended solely for users of legal age. By using the Website, you therefore declare that you are over 18 years of age.

4.2   GGZ shall not be held liable for any disruption, interruption or suspension of the Website due to force majeure, unforeseeable or unavoidable events, technical malfunctions, maintenance work, system updates, communication network failures, or events not directly attributable to its control.

5. INDUSTRIAL AND INTELLECTUAL PROPERTY RIGHTS - COPYRIGHT

5.1 By way of example and without limitation, the Website, the pages, the platform, the ideas, logos and trademarks on the Website owned by GGZ, the graphic design, the texts, the images and, more generally, any other creative content connected to the Website and the products are the exclusive property of GGZ and, as such, may not be reproduced, used or represented, except in cases where this is expressly permitted and within the limits in which it is permitted.

5.2 You are granted a non-transferable right to use the Website and/or any products offered, limited to private and non-commercial use.

10. APPLICABLE LAW AND JURISDICTION

10.1 These Terms of Use shall be interpreted and governed by Italian law.

10.2 Any disputes between you and GGZ arising from or in connection with the use of the Website shall be subject to Italian jurisdiction and shall fall within the exclusive jurisdiction of the Court of Rovigo if you are not a consumer within the meaning of Italian Legislative Decree no. 206/2005 (the “Consumer Code”), whilst they shall fall within the jurisdiction of the court where you reside if you are a consumer within the meaning of the Consumer Code.

11. GENERAL PROVISIONS

11.1 Should any provision of these Terms of Use be deemed unlawful, invalid or unenforceable, that provision shall be deemed amended to the minimum extent necessary to render it lawful, valid or enforceable, and the remaining provisions shall remain in full force and effect.
